General Terms of Sale
GTS – AS-INTER-BOX (B2B only)
§1. Scope
- These General Terms of Sale govern the sale of goods by AS-INTER-BOX exclusively to business entities (B2B).
- AS-INTER-BOX does not engage in consumer sales; the right-of-withdrawal provisions ("14-day cooling-off period") do not apply.
§2. Definitions
- Seller: AS-INTER-BOX Adam Suchanecki w spadku, ul. Obozowa 84, 01-434 Warszawa, e-mail: opakowania.dla@cukierni.pl.
- Buyer: a business entity making a purchase in connection with its commercial activity.
- Goods: packaging and packaging materials (including those intended for use in the food industry).
- Transport/outer packaging: collective carton, film, tapes, shipment security elements, including batch-traceability components.
- Sealed transport packaging: transport packaging secured in a tamper-evident manner (e.g. tape, seal, band).
- Standard goods: catalogue goods, non-personalised, not produced to the Buyer's specification.
- Customised goods: non-prefabricated goods or goods produced to the Buyer's specification (e.g. print/branding, made-to-order series, custom dimensions/specification).
§3. Contract Formation
- Commercial information (website, catalogue, materials) is for informational purposes only.
- The sales contract is concluded upon the Seller's order confirmation (by e-mail) or upon issuance of an invoice/pro-forma and commencement of fulfilment – depending on the arrangement.
- For customised goods, commencement of fulfilment means the start of the production process; after that point cancellation is not permitted unless the Seller confirms otherwise in writing.
§4. Prices, Payments, Documents
- Prices are net (B2B) and are subject to VAT at applicable rates.
- Payment terms and method are determined by the agreement, invoice, pro-forma or order confirmation.
- The Seller may suspend fulfilment until payment is received (prepayment) or until trade credit conditions are met.
§5. Delivery, Acceptance, Risk Transfer, Shipment Inspection
- Goods are deemed delivered:
- upon handover to the carrier (dispatch), or
- upon collection from the Seller's premises (personal collection), or
- upon delivery to the Buyer's premises (delivery by an AS-INTER-BOX driver).
- The Buyer must inspect the shipment immediately upon receipt, in particular the condition of the transport packaging and quantity compliance.
- Transport damage:
- if damage to transport packaging is found upon receipt: the Buyer shall draw up a damage report with the carrier and secure photographic evidence,
- absence of objections at receipt (no damage report) shall be treated as confirmation that the shipment arrived without visible damage to the transport packaging.
- If the transport packaging was delivered undamaged, any subsequent damage (storage, unloading, internal transport by the Buyer) is the Buyer's responsibility.
§6. Returns (voluntary, B2B only)
- Returns are not a statutory right; they are only permissible as a voluntary concession by the Seller and only after a return authorisation number (RMA) has been issued by e-mail.
- Returns are permitted only for standard goods. Customised goods may not be returned.
- Return eligibility conditions (all must be met):
- the goods show no signs of use, soiling, moisture, deformation, or foreign odour,
- quantity completeness is maintained (full packages/sets),
- the goods are returned in a condition suitable for resale,
- the transport/outer packaging is unopened and intact, and in the case of sealed packaging – the seal is not broken,
- batch traceability markings/labels are intact (where applicable).
- For hygiene and traceability reasons (quality procedures, HACCP/GMP, Declarations of Conformity) the Seller will refuse a return if the transport/outer packaging:
- has been opened (security breach), or
- was damaged after delivery (undamaged at delivery).
- A return without prior authorisation (RMA) will be treated as not accepted; the Seller may send it back at the Buyer's expense or hold it for collection for 7 days.
- Return shipping costs are borne by the Buyer. Cash-on-delivery shipments are not accepted.
- Upon receipt of a return, the Seller verifies that conditions are met. If conditions are not met, the Seller will refuse a refund and proceed as per clause 5.

§7. Complaints (defects / delivery discrepancies)
- Complaints must be submitted exclusively to the e-mail address: opakowania.dla@cukierni.pl.
- The submission must include: order/invoice number, description of the issue, quantities, photographs, batch markings (where applicable), and information on storage/transport conditions after receipt.
- Quantity discrepancies and visible defects/damage must be reported immediately upon receipt, with supporting documentation (including a damage report where transport is involved).
- Complaints do not cover damage arising after risk has passed to the Buyer, in particular damage resulting from improper storage, moisture, crushing, soiling, contact with foreign substances, or tampering with transport packaging after delivery.
- As part of complaint processing, the Seller may request the return of samples/batches for assessment; the method and cost are agreed individually.
- Complaints are not handled through the returns procedure under §6.
§8. Liability
- The Seller is not liable for the Buyer's lost profits or indirect damages, unless mandatory law provides otherwise.
- The Seller's liability is limited to the net value of the order to which the claim relates, except where such limitation is not permitted by law.
§9. Force Majeure
A party affected by force majeure shall not be liable for non-performance or delay to the extent it results from an event beyond its control (e.g. power failures, fire, flood, strike, administrative decisions, supply chain disruptions).

§11. Final Provisions
- These GTS are effective from the date of publication and may be updated; the version in force on the date of order confirmation applies to each order.
- The applicable law is Polish law. Disputes shall be resolved by the court having jurisdiction over the Seller's registered seat, unless mandatory law provides otherwise.
